These Terms of Service (“Terms”) govern your access to and use of the Kokua Shop Shopify application (“App”), operated by Kokua Technologies Global Pte Ltd (“Provider”) located at [10-01 141 Cecil St, Singapore 069541 ] (“we,” “us,” or “our”).

By installing or using the App, you agree to be bound by these Terms. If you do not agree, do not install or use the App.

1. Eligibility

You must be at least 18 years old and have the authority to bind the Shopify store you represent to these Terms.

2. Relationship with Shopify

This App is a third-party application and is not affiliated with, endorsed by, or sponsored by Shopify Inc. Your use of Shopify’s platform is governed separately by Shopify’s own terms.

3. Account & Access

You are responsible for:

  • Maintaining the security of your Shopify account
  • All activity that occurs through your use of the App
  • Ensuring your use of the App complies with applicable laws and regulations

We reserve the right to suspend or terminate access if we believe your use violates these Terms or Shopify’s policies.

4. App Functionality

The App provides Live sales video calls and streaming.

We may update, modify, or discontinue features of the App at any time without notice. We do not guarantee that the App will always be available or error-free.

5. Fees & Billing

If the App includes paid features:

  • Fees are displayed within the Shopify App Store or inside the App
  • Billing is handled by Shopify according to their billing terms
  • Fees are non-refundable unless required by law

6. Data & Privacy

By using the App, you grant us permission to access and process store data as necessary to provide the App’s functionality.

Our use of data is governed by our Privacy Policy found at https://www.kokualive.com/privacy-policy/

You retain ownership of your store data at all times.

7. Acceptable Use

You agree not to:

  • Use the App for unlawful or fraudulent purposes
  • Reverse engineer, copy, or resell the App
  • Interfere with the App’s performance or security
  • Use the App in violation of Shopify’s Acceptable Use Policy

8. Intellectual Property

All rights, title, and interest in the App (including code, design, branding, and documentation) are owned by Provider.

You are granted a limited, non-exclusive, non-transferable license to use the App while these Terms remain in effect.

9. Termination

Either party may terminate these Terms at any time:

  • You may uninstall the App at any time
  • We may suspend or terminate access with or without notice for violations of these Terms

Upon termination, your right to use the App immediately ends.

10. Disclaimer of Warranties

The App is provided “as is” and “as available.”

We disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, Provider shall not be liable for:

  • Lost profits, revenue, data, or business opportunities
  • Indirect, incidental, or consequential damages

Our total liability shall not exceed the amount paid by you for the App in the previous 12 months.

12. Indemnification

You agree to indemnify and hold harmless Provider from any claims arising out of:

  • Your use of the App
  • Your violation of these Terms
  • Your breach of applicable laws or Shopify policies

13. Changes to Terms

We may update these Terms from time to time. Continued use of the App after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of Singapore, without regard to conflict of law principles.
